Mini Attack Outline: Contracts

Use this as a quick mental checklist when a contracts question appears.

  • Formation: Was there an offer, acceptance, and consideration?
  • Defenses: Capacity, mistake, misrepresentation, duress, undue influence, illegality, unconscionability, statute of frauds.
  • Terms: Common law mirror image rule or UCC battle of the forms?
  • Performance: Did a condition occur? Was there substantial performance or material breach?
  • Remedies: Expectation damages, reliance, restitution, specific performance, liquidated damages.

Rule Statement Example

Consideration: Consideration is a bargained-for exchange where each party gives or promises something of legal value. A promise is generally not enforceable unless it is supported by consideration or a recognized substitute, such as promissory estoppel.

  • Trigger words: promise, exchange, gift, reliance, modification.
  • Common trap: Past consideration is usually not valid consideration.
  • Essay move: State the rule, identify what each party gave, then discuss whether the exchange was bargained for.
